Rada Nadzorcza Scope Fluidics S.A. dokonała oceny poniższych sprawozdań Scope Fluidics S.A. oraz
Grupy Kapitałowej Scope Fluidics S.A.:
a) Jednostkowego sprawozdania finansowego sporządzonego na dzień i za rok obrotowy zakończony
31 grudnia 2023 r. („Jednostkowe Sprawozdanie Finansowe”)
b) Skonsolidowanego sprawozdania finansowego sporządzonego na dzień i za rok obrotowy
zakończony 31 grudnia 2023 r. („Skonsolidowane Sprawozdanie Finansowe”)
c) Sprawozdania z działalności Scope Fluidics S.A. oraz Grupy Kapitałowej Scope Fluidics S.A. za rok
obrotowy zakończony 31 grudnia 2023 r. („Sprawozdanie z Działalności”)
i stwierdziła, że wszystkie powyższe dokumenty są zgodne z księgami, dokumentami oraz ze stanem
faktycznym.
Powyższą ocenę Rada Nadzorcza wydała po analizie przedłożonych materiałów oraz wysłuchaniu
wyjaśnień niezależnego biegłego rewidenta. Dokonując przedmiotowej oceny Rada Nadzorcza wzięła
również pod uwagę sprawozdanie niezależnego biegłego rewidenta z Jednostkowego Sprawozdania
Finansowego oraz sprawozdanie niezależnego biegłego rewidenta z badania Skonsolidowanego
Sprawozdania Finansowego. Zgodnie z przedmiotowymi Sprawozdaniami biegłego rewidenta,
Jednostkowe Sprawozdanie Finansowe oraz Skonsolidowane Sprawozdanie Finansowe:
(i) przedstawiają rzetelny i jasny obraz sytuacji majątkowej i finansowej Scope Fluidics S.A. oraz Grupy
Kapitałowej Scope Fluidics S.A. na dzień 31 grudnia 2023 r., finansowych wyników działalności oraz
przepływów pieniężnych za rok obrotowy zakończony tego dnia, zgodnie z Międzynarodowymi
Standardami Sprawozdawczości Finansowej zatwierdzonymi przez Unię Europejską oraz przyjętymi
zasadami (polityką) rachunkowości; (ii) są zgodne, we wszystkich istotnych aspektach, co do formy
i treści z obowiązującymi Grupę Kapitałową Scope Fluidics S.A. przepisami prawa oraz statutem Scope
Fluidics S.A.; (iii) zostały sporządzone, we wszystkich istotnych aspektach, na podstawie prawidłowo
prowadzonych ksiąg rachunkowych, zgodnie z przepisami rozdziału 2 ustawy z dnia 29 września 1994
r. o rachunkowości.
Ponadto, zdaniem biegłego rewidenta, Sprawozdanie z Działalności Scope Fluidics S.A. oraz Grupy
Kapitałowej za 2023 rok, we wszystkich istotnych aspektach: (i) zostało sporządzone zgodnie z
mającymi zastosowanie przepisami prawa; oraz (ii) jest zgodne z informacjami zawartymi w
Jednostkowym Sprawozdaniu Finansowym oraz w Skonsolidowanym Sprawozdaniu Finansowym.
