CD PROJEKT SA (17/2025) Powołanie Członków Zarządu nowej kadencji

Podstawa prawna: RN_POZYCJA_16_157Zarząd CD PROJEKT S.A. z siedzibą w Warszawie ("Spółka") informuje, że 24 listopada 2025 roku Rada Nadzorcza Spółki powołała na stanowiska Członków Zarządu Spółki kolejnej kadencji, rozpoczynającej się od dnia 1 stycznia 2026 r., następujące osoby:

- Pana Michała Nowakowskiego,

- Pana Adama Badowskiego,

- Pana Piotra Nielubowicza,

- Pana Piotra Karwowskiego,

- Pana Pawła Zawodnego,

- Pana Jeremiah Cohn,

- Panią Karolinę Radziszewską.

Intencją Zarządu jest, aby Członkowie Zarządu obecnej kadencji, w kolejnej kadencji pełnili dotychczasowe role, zaś nowo powołana do Zarządu Pani Karolina Radziszewska pełniła rolę Chief People Officer (CPO).

Zgodnie ze złożonymi Spółce oświadczeniami osoby powołane na stanowiska Członków Zarządu Spółki nowej kadencji:

- nie figurują w Rejestrze Dłużników Niewypłacalnych, prowadzonym na podstawie polskiej ustawy z dnia 20 sierpnia 1997 r. o Krajowym Rejestrze Sądowym (t.j. Dz. U. z 2025 r. poz. 869),

- nie uczestniczą w spółce konkurencyjnej w stosunku do Spółki jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej bądź w innej konkurencyjnej w stosunku do Spółki osobie prawnej jako członek jej organu oraz nie wykonują innej, konkurencyjnej wobec Spółki działalności.

W załączeniu Spółka przekazuje informacje dotyczące wykształcenia, kwalifikacji i zajmowanych wcześniej stanowisk, wraz z opisem przebiegu pracy zawodowej osób powołanych na Członków Zarządu Spółki kolejnej kadencji.

Subject: Appointment of the Members of the Management Board of a new

term of office

Legal basis: Art. 56 section 1 item 2 of the Offerings Act - current and

periodic information

The Management Board of CD PROJEKT S.A. with a registered office in

Warsaw (the "Company") hereby announces that on 24 November 2025 the

Supervisory Board of the Company appointed the following persons to the

position of Members of the Management Board of the Company for the next

term of office, beginning on January 1, 2026:

- Mr. Michał Nowakowski,

- Mr. Adam Badowski,

- Mr. Piotr Nielubowicz,

- Mr. Piotr Karwowski,

- Mr. Paweł Zawodnego,

- Mr. Jeremiah Cohn,

- Ms. Karolina Radziszewska.

The Management Board intends for the members of the current term to

continue in their current roles in the next term, while Ms. Karolina

Radziszewska, newly appointed to the Management Board, will serve as

Chief People Officer (CPO).

According to declarations filed with the Company, the persons appointed

as Members of the Supervisory Board for the new term:

- are not listed in the Registry of Insolvent Debtors maintained in

accordance with the Polish National Court Register Act of 20 August 1997

(JL 2025, item no. 869),

- do not engage in competition with the Company as partners in a civil

law partnership or personal partnership, as members of any official body

of a limited company, or as members of any official body of any other

legal entity which engages in competition with the Company, and do not

otherwise engage in competition with the Company in any other way.

Attached, the Company provides information on the education,

qualifications, and previous positions held, along with a description of

the professional experience of the persons appointed as Members of the

Management Board of the Company for the next term of office.
