Zarząd spółki mBank S.A. podaje do wiadomości, że w dniu 19 czerwca 2026 r. Rada Nadzorcza Banku powołała Panią Karolinę Mitraszewską na członkinię Rady Nadzorczej Banku, na okres bieżącej kadencji począwszy od dnia 19 czerwca 2026 r.

Pani Karolina Mitraszewska posiada ponad 25-letnie doświadczenie w sektorze finansowym, bankowości, doradztwie strategicznym, inwestycjach, innowacjach oraz transformacji organizacji działających w regulowanym otoczeniu. Pełniła funkcje Prezeski Zarządu w PFR Ventures, Wiceprezeski Zarządu oraz Członkini Zarządu w Nest Banku oraz zasiadała na stanowiskach kierowniczych m.in. w Nest Banku w Santander Bank Polska i EY.

Posiada stopień doktora nauk ekonomicznych uzyskany w Szkole Głównej Handlowej w Warszawie oraz tytuł Global Executive MBA INSEAD. Jest absolwentką Szkoły Głównej Handlowej w Warszawie na kierunkach Międzynarodowe Stosunki Gospodarcze i Polityczne oraz Marketing i Zarządzanie. Ukończyła również Oxford Private Equity Programme w Sad Business School na University of Oxford oraz program International Business realizowany w ramach DIS w Kopenhadze.

Jest członkinią Stowarzyszenia Niezależnych Członków Rad Nadzorczych oraz Stowarzyszenia LiderSHE. Współpracuje z Vital Voices, Strong Women in IT oraz CIONET.

Według posiadanych przez Zarząd Banku informacji, Pani Karolina Mitraszewska nie wykonuje działalności konkurencyjnej względem Banku, a także nie uczestniczy w spółce konkurencyjnej wobec Banku jako wspólnik spółki cywilnej, spółki osobowej, spółki kapitałowej oraz nie uczestniczy w konkurencyjnej względem Banku osobie prawnej jako członek jej organu.

Zgodnie ze stosowanymi przez Bank kryteriami Pani Karolina Mitraszewska jest niezależną członkinią Rady Nadzorczej Banku.

Pani Karolina Mitraszewska nie figuruje w Rejestrze Dłużników Niewypłacalnych, prowadzonym na podstawie ustawy o KRS.

Appointment

of a new member of the Supervisory Board of mBank S.A.

The Management

Board of mBank S.A. informs that on 19 June 2026, the Supervisory Board

of the Bank elected Ms. Karolina Mitraszewska as a member of the

Supervisory Board of the Bank, for the current term of office starting

from 19 June 2026.

Ms. Karolina

Mitraszewska is a senior executive with over 25

years of experience in the financial sector, banking, strategic

advisory, investments, innovation and the transformation of large

organisations operating in regulated environments. She was the President

of the Management Board in PFR Ventures, Vice-President of the

Management Board and a Member of the Management Board at Nest Bank, and

also held managerial positions at, among others, Nest Bank, Santander

Bank Polska and EY.

She has broad

management and supervisory experience covering strategy, corporate

governance, finance, investments, innovation, risk management,

operations, technology, data, cybersecurity, business model

transformation and organisational effectiveness. Throughout her career,

she has been involved in leading complex transformation programmes,

improving profitability and operational efficiency, developing digital

banking, automating processes, building modern operating models and

strengthening organisational resilience.

Ms. Karolina

Mitraszewska holds a PhD in Economics from the SGH Warsaw School of

Economics and a Global Executive MBA from INSEAD. She is a graduate of

the SGH Warsaw School of Economics in International Economic and

Political Relations and in Marketing and Management. She also completed

the Oxford Private Equity Programme at Sad Business School University

of Oxford, and the International Business programme at DIS in Copenhagen.

She is a member

of the Association of Independent Non-Executive Directors and

a member of the LiderSHE

Association. She cooperates with Vital Voices, Strong Women in IT and

CIONET.

According to

the information available to the Bank's Management Board, Ms. Karolina

Mitraszewska does not conduct any activity competitive to the Bank, and

does not participate in a company competitive to the Bank as a partner

in a civil partnership, partnership, or capital company, and does not

participate in a legal person competitive to the Bank as a member of its

body.

In accordance

with the criteria used by the Bank, Ms. Karolina Mitraszewska is an

independent member of the Supervisory Board of the Bank.

Ms.

Karolina Mitraszewska is not listed in the Register of Insolvent Debtors

kept pursuant to the National Court Register Act.
