MEDICALGORITHMICS SA (12/2026) Informacja o przyjęciu oferty Medicalgorithmics szacowanej na 1,5 miliona EUR do realizacji przez Partnera w okresie 5 lat w związku z rozstrzygnięciem postępowania przetargowego

Zarząd Medicalgorithmics S.A. ("Spółka", "Emitent") informuje, że w dniu 22 kwietnia 2026 r. powziął informację o wyborze przez jeden z największych szpitali w Szwecji ("Zamawiający") oferty złożonej przez partnera Emitenta z siedzibą w Szwecji ("Partner") jako najkorzystniejszej w ramach prowadzonego przez Zamawiającego

postępowania przetargowego. W związku z wyborem oferty Partnera jako najkorzystniejszej, Emitent powziął informację o zawarciu przez Partnera umowy z Zamawiającym na dostawę i wdrożenie rozwiązania HomeCare na okres 5 (pięciu) lat. W ramach powyższego rozwiązania, Emitent działając w ramach współpracy z Partnerem, na podstawie oferty złożonej Partnerowi przez Emitenta, będzie odpowiedzialny za integrację systemów

Zamawiającego z rozwiązaniami Emitenta, obejmującymi oprogramowanie chmurowe DeepRhythm Platform (DRP), a także za dostawę urządzeń Pocket ECG.

Szacowna wartość świadczeń przypadających Emitentowi w okresie pięciu lat wynosi 1.500.000,00 euro i obejmuje sprzedaż 250 urządzeń Pocket ECG dostarczanych Partnerowi przez Emitenta oraz wykonania 65.000 dobobadań, zgodnie z ofertą złożoną przez Emitenta.

Emitent uznał powyższą informację za informację poufną z uwagi na istotną wartość oferty Spółki, przyjętej do realizacji przez Partnera w ramach współpracy z Partnerem związanej z realizacją zamówienia, oraz jej potencjalny wpływ na przyszłą sytuację finansową i gospodarczą Emitenta.

Subject: Information on the acceptance of Medicalgorithmics' offer

estimated at EUR 1.5 million for execution by the Partner over a period

of 5 years in connection with the outcome of a tender procedure

The Management Board of Medicalgorithmics S.A. (the "Company", "the

Issuer") informs that on 22 April 2026 it was informed that one of the

largest hospitals in Sweden (the "Ordering Party") had selected the

offer submitted by the Issuer's partner from Sweden (the "Partner") as

the most advantageous in the tender procedure conducted by the Ordering

Party. In connection with the selection of the Partner's offer as the

most advantageous, the Issuer became aware that the Partner had

concluded an agreement with the Ordering Party for the delivery and

implementation of the HomeCare solution for a period of 5 (five) years.

As part of the above solution, the Issuer, acting within the framework

of its cooperation with the Partner, on the basis of the offer submitted

to the Partner by the Issuer, will be responsible for the integration of

the Ordering Party's systems with the Issuer's solutions, including the

DeepRhythm Platform (DRP) cloud software, as well as for the delivery of

Pocket ECG devices.

The estimated value of the benefits attributable to the Issuer over a

period of five years is EUR 1,500,000.00 and includes the sale of 250

Pocket ECG devices supplied to the Partner by the Issuer and the

performance of 65,000 daily examinations, in accordance with the offer

submitted by the Issuer.

The Issuer considered the above information to constitute inside

information due to the significant value of the Company's offer,

accepted for implementation by the Partner within the framework of

cooperation with the Partner related to the execution of the order, and

its potential impact on the Issuer's future financial and business

position.
