Zarząd Banku Millennium S.A. [Bank] informuje, iż powziął wiadomość o dokonaniu w dniu 12 maja 2025 r. przez Sąd Rejonowy dla m. st. Warszawy w Warszawie, XIII Wydział Gospodarczy Krajowego Rejestru Sądowego, rejestracji zmian Statutu Banku, uchwalonych przez Zwyczajne Walne Zgromadzenie Banku z 27 marca 2025 r. uchwałami nr 45, 46 i 47. Treść tych uchwał Bank opublikował raportem bieżącym nr 17/2025 z dnia 27 marca 2025 r.

Załącznik nr 1 do niniejszego raportu bieżącego, wskazuje zarejestrowane przez Sąd zmiany Statutu Banku.

Załącznik nr 2 do niniejszego raportu bieżącego, zawiera brzmienie, po zmianach, Paragrafów: 5, 17 i 18 Statutu.

Subject: Registration by the Court of changes of Articles of Association

of Bank Millennium S.A. adopted by Bank's General Meeting on March 27,

2025

The Management Board of Bank Millennium S.A. [the Bank] informs that it

learned that on 12 May 2025 the Regional Court for Warsaw in Warsaw,

13th Business Department of the National Court Register registered the

changes of the Bank's Articles of Association adopted in resolutions

nos. 45, 46 and 47 taken by the Bank's Ordinary General Meeting of 27

March 2025. The Bank published the text of such resolutions in current

report No. 17/2025 of March 27, 2025.

Appendix No. 1 to this current report indicates the amendments to the

Bank's Articles of Association registered by the Court.

Appendix No. 2 to this current report contains the wording, after

amendments, of Paragraphs: 5, 17 and 18 of the Articles of Association.

Appendix No. 3 to this current report contains the wording, before

amendments, of Paragraphs: 5, 17 and 18 of the Articles of Association.

Legal basis: Par. 5 point 1 of the Regulation of the Minister of Finance

of 29 March 2018 on current and periodical information disclosed by

issuers of securities as well as conditions to be met when recognising

as equivalent the information disclosed under laws of a state which is

not a member state.
