MEDICALGORITHMICS SA (40/2025) Informacja o zawarciu przez Medicalgorithmics S.A. umowy o dofinansowanie z PARP

Zarząd Medicalgorithmics S.A. z siedzibą w Warszawie ("Spółka") informuje o zawarciu w dniu 17 grudnia 2025 r. pomiędzy Spółką jako Beneficjentem a Polską Agencją Rozwoju Przedsiębiorczości ("PARP"; "Instytucja") Umowy o dofinansowanie realizacji projektu pt. "Kardiobeat.CT - innowacyjne narzędzie diagnostyczne do automatycznej detekcji blaszek miażdżycowych" ("Projekt") ("Umowa"). Umowa została zawarta w ramach Programu Fundusze Europejskie dla Nowoczesnej Gospodarki, priorytet: I. Wsparcie dla przedsiębiorców, w ramach działania: Ścieżka SMART, w ramach naboru: FENG.01.01-IP.02-001/24 ("Program"). Spółka informowała o wybraniu przez PARP wniosku Spółki do dofinansowania kwotą 9 415 712,50 zł raportem bieżącym nr 17/2025 z dnia 17 lipca 2025 r.

Przedmiotem zawartej Umowy jest udzielenie Spółce przez Instytucję dofinansowania na realizację Projektu zgodnie z Umową oraz realizacja Projektu przez Spółkę z należytą starannością i wykorzystanie dofinansowania zgodnie z Umową.

Całkowity koszt realizacji Projektu wynosi 19 072 879,00 zł.

Całkowita kwota wydatków kwalifikowalnych wynosi 18 831 425,00 zł.

Całkowita kwota dofinansowania wynosi 9 415 712,50 zł, przy czym kwota ta może ulec zmianie, zgodnie z zasadami określonymi w Umowie.

Okres kwalifikowalności wydatków dla Projektu rozpoczyna się w dniu 1 czerwca 2025 (data rozpoczęcia realizacji Projektu) i kończy się w dniu 31 grudnia 2028 (data zakończenia realizacji Projektu).

Spółka zobowiązana jest do osiągnięcia określonych we wniosku o dofinansowanie celów i wskaźników Projektu poprzez osiągnięcie celów i wskaźników każdego z modułów wchodzących w skład Projektu. Projekt obejmuje następujące moduły: B+R oraz Internacjonalizacja. Spółka zobowiązana jest do wdrożenia wyników prac B+R nie później niż do 5 lat od zakończenia realizacji modułu B+R. Ponadto Spółka zobowiązana jest do zachowania trwałości Projektu przez okres 3 lat od zakończenia realizacji Projektu z uwzględnieniem szczegółowych warunków realizacji modułów określonych w załączniku do Umowy.

Dofinansowanie udzielane jest na podstawie rozporządzenia Ministra Funduszy i Polityki Regionalnej z dnia 7 listopada 2022 r. w sprawie udzielania przez Polską Agencję Rozwoju Przedsiębiorczości pomocy finansowej w ramach Programu Fundusze Europejskie dla Nowoczesnej Gospodarki 2021-2027 (Dz. U. z 2022 r. poz. 2510, z późn. zm.). Instytucja przekazuje dofinansowanie na podstawie wniosków o płatność, składanych w terminach określonych harmonogramem płatności. Dofinansowanie wypłacane jest po ustanowieniu i wniesieniu przez Spółkę zabezpieczenia należytego wykonania zobowiązań wynikających z Umowy, do czego Spółka zobowiązana jest w terminie 14 dni od dnia zawarcia Umowy.

Umowa została zawarta na warunkach określonych w dokumentacji ogłoszonej dla Programu, w tym zgodnie z wzorem umowy o dofinansowanie i nie odbiega od warunków powszechnie stosowanych dla umów tego typu.

Information

on the conclusion of a co-financing agreement with PARP by

Medicalgorithmics S.A.

the Council (MAR) - inside information.

The

Management Board of Medicalgorithmics S.A. with its registered office in

Warsaw (the "Company") hereby announces that on 17 December

2025, the Company, as the Beneficiary, and the Polish Agency for

Enterprise Development ("PARP"; "Institution")

entered into an Agreement for co-financing the implementation of the

project entitled "Kardiobeat.CT - an innovative diagnostic tool for

automatic detection of atherosclerotic plaques" (the "Project")

(the "Agreement"). The Agreement was concluded under the

European Funds for Modern Economy Program, priority: I. Support for

entrepreneurs, under the measure: SMART Path, under the call:

FENG.01.01-IP.02-001/24 (the "Program"). The Company

announced that PARP had selected the Company's application for

co-financing in the amount of PLN 9,415,712.50 in current report No.

17/2025 of 17 July 2025.

The

subject matter of the concluded Agreement is the granting of

co-financing to the Company by the Institution for the implementation of

the Project in accordance with the Agreement and the implementation of

the Project by the Company with due diligence and the use of

co-financing in accordance with the Agreement.

The

total cost of the Project is PLN 19,072,879.00.

The

total amount of eligible expenditure is PLN 18,831,425.00.

The

total amount of co-financing is PLN 9,415,712.50, however, this amount

may be changed, in accordance with the rules set out in the Agreement.

The

period of eligibility of expenditure for the Project begins on 1 June

2025 (the date of commencement of the Project) and ends on 31 December

2028 (the date of completion of the Project).

The

Company is obliged to achieve the objectives and indicators of the

Project specified in the application for co-financing by achieving the

objectives and indicators of each of the modules included in the

Project. The Project includes the following modules: R+D and

Internationalization. The Company is obliged to implement the results of

R+D work no later than 5 years from the completion of the R+D module.

In addition,

the Company is obliged to maintain the durability of the Project for a

period of 3 years from the completion of the Project, taking into

account the detailed conditions for the implementation of the modules

specified in the appendix to the Agreement.

The

funding is granted on the basis of the Regulation of the Minister of

Funds and Regional Policy of 7 November 2022 on the granting of

financial assistance by the Polish Agency for Enterprise Development

under the European Funds for Modern Economy Program 2021-2027 (Journal

of Laws of 2022, item 2510, as amended). The Institution transfers the

subsidy on the basis of payment requests submitted within the deadlines

specified in the payment schedule. The subsidy is paid after the Company

has established and provided security for the proper performance of its

obligations under the Agreement, which the Company is required to do

within 14 days of the date of conclusion of the Agreement.

The

Agreement was concluded on the terms and conditions specified in the

documentation published for the Program, including in accordance with the

template grant agreement, and does not differ from the terms and

conditions commonly used for agreements of this type
