ENERGA SA (1/2026) Oddalenie apelacji w sprawie o uchylenie uchwały Zwyczajnego Walnego Zgromadzenia Energi SA z 2022 roku ws. podziału zysku

W nawiązaniu do raportów bieżących 39/2022 i 2/2024 Zarząd Energa SA ("Spółka") informuje, że w dniu 19 stycznia br. Sąd Apelacyjny w Gdańsku oddalił apelację grupy akcjonariuszy o uchylenie uchwały nr 5 Zwyczajnego Walnego Zgromadzenia Energi SA z dnia 20 maja 2022 r. w sprawie podziału zysku netto za rok obrotowy 2021 i przeznaczenia tego zysku w całości na kapitał rezerwowy.

Wyrok sądu pierwszej instancji staje się prawomocny i uchwała Walnego Zgromadzenia pozostaje w mocy.

Subject: Dismissal of the appeal in the case of annulling the resolution

of the Annual General Meeting of Energa SA of 2022 regarding the

distribution of profit

Legal basis: Art. 56 section 1 point 2 of the Act on Offerings - current

and periodic information

Further to Current Reports 39/2022 and 2/2024, the Management Board of

Energa S.A. (the "Company") announces that on January 19, 2026, the

Court of Appeal in Gdańsk dismissed the appeal filed by a group of

shareholders to repeal Resolution No. 5 of the Annual General Meeting of

Energa S.A. dated May 20, 2022, regarding the distribution of net profit

for the 2021 financial year and the allocation of this profit in its

entirety to reserve capital.

The judgment of the court of first instance becomes final and binding,

and the resolution of the General Meeting remains in force.
