Medicalgorithmics S.A. z siedzibą w Warszawie ("Spółka"; "Emitent") informuje, że w dniu 30 maja 2026 r. Spółka zawarła umowę z włoską firmą Accyourate Group S.p.A. ("Partner"), jednym z europejskich liderów wearable healthcare ("Umowa").

Umowa określa warunki współpracy stron w świadczeniu przez Spółkę usług na rzecz Partnera opartych na technologii Spółki do analizy rytmu serca - oprogramowaniu chmurowym DeepRhythm Platform (DRP) oraz algorytmach DeepRhythmAI (DRAI), w tym poprzez integrację z oprogramowaniem Partnera. Wartość wynagrodzenia (określonego w EUR), jakie Partner zapłaci na rzecz Spółki za świadczone usługi będzie zależała od liczby sesji EKG analizowanych za pomocą oprogramowania Spółki w danym miesiącu, przy ustalonej stawce za sesje zależnej od długości badania, z gwarantowanym minimalnym miesięcznym wynagrodzeniem (w EUR). Opłaty za sesje będą należne po zakończeniu prac integracyjnych umożliwiających Partnerowi komercyjne świadczenie usług w oparciu o oprogramowanie Spółki. Ponadto Partner zapłaci jednorazowe wynagrodzenie za wdrożenie, płatne w terminie 7 dni od dnia rozpoczęcia obowiązywania umowy (tj. 1 czerwca 2026 roku) oraz - opcjonalnie - wynagrodzenie za świadczenie usług analizy danych EKG przez technika według stawki zależnej od długości badania (płatne za raport).

Gwarantowane kontraktowo minimalne miesięczne wynagrodzenie Spółki za wykonane przez Partnera badania diagnostyczne wyniesie 31,7 tys. PLN (7,5 tys. EUR). Przy założeniu świadczenia usług przez okres kolejnych dwunastu miesięcy, minimalny gwarantowany roczny przychód z tytułu Umowy wyniesie 381 tys. PLN.

Umowa została zawarta na czas nieokreślony, z możliwością jej wypowiedzenia przez każdą ze stron z zachowaniem sześciomiesięcznego okresu wypowiedzenia. Umowa przewiduje także możliwość jej natychmiastowego rozwiązania w przypadku rażącego naruszenia przez jedną ze stron, po wcześniejszym bezskutecznym wezwaniu do usunięcia uchybień. Umowa została zawarta zgodnie z prawem Włoch i zawiera standardowe postanowienia dotyczące oświadczeń i zapewnień, poufności oraz indemnifikacji, zgodne z branżowymi standardami. Umowa wyłącza odpowiedzialność każdej ze stron za szkody pośrednie, uboczne, następcze lub szczególne, w tym za utracone korzyści, utratę przychodów, utratę możliwości prowadzenia działalności, utratę danych lub przerwy w działalności, przy czym wyłączenie to nie ma zastosowania do określonych przypadków, m.in. oszustwa, winy umyślnej lub rażącego niedbalstwa, naruszenia obowiązku zachowania poufności oraz naruszenia lub bezprawnego wykorzystania praw własności intelektualnej drugiej strony.

Wartości w EUR wskazane w tym raporcie zostały przeliczone na PLN według kursu 4,2322 PLN/EUR.

W ocenie Zarządu Spółki, zawarcie Umowy jest kolejnym istotnym krokiem w realizacji strategii Spółki, przedstawionej w raporcie bieżącym nr 16/2023 z dnia 19 czerwca 2023 r., która ma na celu istotne zwiększenie przychodów i rentowności Spółki oraz prowadzić do generowania dodatnich przepływów pieniężnych. Umowa z Partnerem pozwoli Spółce na rozwój w nowym i perspektywicznym segmencie rynku inteligentnych tekstyliów.

Subject: Conclusion of an agreement with a partner from Italy providing

for minimum guaranteed annual revenue of PLN 381 thousand

Medicalgorithmics S.A. with its registered office in Warsaw (the

"Company"; The "Issuer") informs that on 30 May 2026, the Company

entered into an agreement with the Italian company Accyourate Group

S.p.A ("Partner"), one of the European leaders in wearable healthcare

(the "Agreement").

The Agreement sets out the terms of cooperation between the parties in

the provision by the Company of services to the Partner based on the

Company's heart rhythm analysis technology - namely the DeepRhythm

Platform (DRP) cloud software and the DeepRhythmAI (DRAI) algorithms,

including through integration with the Partner's software. The value of

the remuneration (denominated in EUR) payable by the Partner to the

Company for the services provided will depend on the number of ECG

sessions analyzed using the Company's software in a given month, at an

agreed per-session rate depending on the duration of the examination,

with a guaranteed minimum monthly fee (in EUR). Session fees will become

payable after completion of the integration work enabling the Partner to

commercially provide services based on the Company's software. In

addition, the Partner will pay a one-time implementation fee, payable

within 7 days from the date on which the Agreement enters into force

(i.e. 1 June 2026), and - optionally - remuneration for ECG data

analysis services performed by a technician, at a rate depending on the

duration of the examination (payable per report).

The contractually guaranteed minimum monthly remuneration of the Company

for diagnostic examinations performed by the Partner will amount to 31.7

thousand PLN (7.5 thousand EUR). Assuming the provision of services for

twelve consecutive months, the minimum guaranteed annual revenue under

the contract will amount to 381 thousand PLN.

The Agreement has been concluded for an indefinite term, with the

possibility for either party to terminate it subject to six months'

notice. The Agreement also provides for immediate termination in the

event of a material breach by either party, following a prior

ineffective request to remedy the breach. The Agreement is governed by

Italian law and contains standard provisions regarding representations

and warranties, confidentiality, and indemnification, in line with

industry standards. The Agreement excludes each Party's liability for

any indirect, incidental, consequential or special damages, including

loss of profits, loss of revenue, loss of business, loss of data or

business interruption; this exclusion does not apply to certain

situations, including fraud, willful misconduct or gross negligence,

breaches of confidentiality obligations, and infringement or

misappropriation of the other Party's intellectual property rights.

The values in EUR indicated in this report have been converted into PLN

at the exchange rate of 4.2322 PLN/EUR.

In the opinion of the Company's Management Board, the conclusion of the

Agreement is another important step in the implementation of the

Company's strategy, presented in current report No. 16/2023 of 19 June

2023, which aims to significantly increase the Company's revenues and

profitability and lead to the generation of positive cash flows. The

agreement with the Partner will allow the Company to develop in a new

and promising segment of the smart textiles market.
