Zarząd Medicalgorithmics S.A. z siedzibą w Warszawie ("Emitent" lub "Spółka") informuje o zawarciu w dniu 10 czerwca 2026 r. porozumienia ("Porozumienie") do aneksu nr 2 z dnia 27 kwietnia 2026 r. ("Aneks") do umowy pożyczki zawartej pomiędzy Spółką a akcjonariuszem Spółki - BioFund Capital Management LLC (USA) ("BioFund") w dniu 29 listopada 2024 r., zmienionej aneksem z dnia 15 kwietnia 2025 r.

Na podstawie Porozumienia strony postanowiły dokonać zmiany terminu warunku rozwiązującego wskazanego w Aneksie, o którym Spółka informowała raportem bieżącym nr 13/2026 z dnia 27 kwietnia 2026 r., poprzez wydłużenie terminu wskazanego w Aneksie do dnia 31 lipca 2026 roku.

W pozostałym zakresie postanowienia Aneksu pozostają bez zmian.

Execution of an agreement to an annex to the loan agreement with BioFund

The Management Board of Medicalgorithmics S.A. with its registered

office in Warsaw (the "Issuer" or the "Company") announces that on June

10 2026, it entered into an agreement (the "Agreement") to Annex No. 2

dated 27 April 2026 (the "Annex") to the loan agreement concluded

between the Company and the Company's shareholder - BioFund Capital

Management LLC (USA) on 29 November 2024, as amended by an annex dated

15 April 2025.

Pursuant to the Agreement, the parties resolved to amend the date of the

condition subsequent set forth in the Annex, as disclosed by the Company

in current report No. 13/2026 dated 27 April 2026, by extending the

deadline specified in the Annex to 31 July 2026.

In all other respects, the provisions of the Annex remain unchanged and

in full force and effect.
