ELEKTROBUDOWA SA informs

The Management of ELEKTROBUDOWA SA (hereinafter referred to as Subcontractor) informs, that on 23 December 2014 the Company signed a contract with Emerson Process Management, Power and Water Solutions Sp. z o.o. based in Warsaw (in this project referred to as Contractor) for "Delivery of electrical systems for the newly built 910MW power unit for supercritical parameters in Jaworzno III - Elektrownia II Power Plant" (further called Contract). The lumpsum price for completion of the scope of Contract by the Subcontractor is 183.350.000,00 PLN (say: one hundred and eighty three million three hundred and fifty thousand Polish zloty only). net. The works shall be commenced after the suspensory condition is fulfilled. The completion of works has been scheduled for March 2019. Subcontractor shall receive an advance payment up to 16,5% of the price. Total contractual penalties stipulated in the Contract are capped at 25% of the net contract price. Total aggregate liability of Subcontractor for all and any penalties, liquidated damages, claims and demands based on any grounds shall not exceed 100% of the net Contract Price, while Subcontractor shall not be liable for any loss of chance or indirect damages. The parties agreed that this Contract shall become effective when all following conditions are fulfilled:- signing the contract by both parties,- not earlier than after the effective date of Emerson Contract (Contract No. U/J910/0018/Z/14 concluded on 11.12.2014), which constitutes an annex to this Contract, - the Contractor has obtained an official consent from the Purchaser (E003B7 Sp. z. o.o. based in Racibórz) an Investor (TAURON WYTWARZANIE S.A.) to sign the present Contract.The above condition is suspensory.Other conditions of the contract do not differ from terms generally applied to this type of contracts.A contract is significant when its price exceeds 10% of equity of ELEKTROBUDOWA SA. Pursuant to Art. 5.1.3 of the Regulation of the Minister of Finance dated 19 February 2009 on current and interim information.
