Zarząd Medicalgorithmics S.A. z siedzibą w Warszawie ("Spółka") informuje, że w dniu 13 maja 2026 r. Spółka zawarła list intencyjny ("List Intencyjny") z Fundacją Rozwoju Kardiochirurgii im. Zbigniewa Religi ("FRK") oraz akcjonariuszem Spółki - spółką Biofund Capital Management LLC ("BioFund"), (łącznie "Strony") dotyczący planowanej współpracy Stron w zakresie potencjalnej realizacji projektu polegającego na opracowaniu, rozwoju oraz komercjalizacji nowej generacji minimalnie inwazyjnego systemu robotycznego przeznaczonego do leczenia strukturalnych wad serca ("Projekt").

List Intencyjny nie jest wiążący, z zastrzeżeniem postanowień dotyczących wyłączności negocjacyjnej, poufności oraz zasad komunikacji, które mają charakter wiążący, i stanowi wyraz zamiaru Stron dotyczący wspólnej realizacji Projektu na warunkach w nim określonych. Zgodnie z postanowieniami listu, współpraca ma obejmować w szczególności działania w zakresie projektowania, rozwoju oraz potencjalnej komercjalizacji rozwiązań łączących oprogramowanie do analizy obrazowania medycznego, systemy robotyczne oraz elementy wspierające przebieg procedur klinicznych.

Strony wskazały m.in., że w celu realizacji Projektu zamierzają prowadzić dalsze prace koncepcyjne, techniczne i organizacyjne, w tym określić model współpracy (obejmujący w szczególności możliwość utworzenia wspólnego podmiotu), zasady wniesienia wkładów przez Strony (w tym technologii, know-how i finansowania), jak również ramy komercjalizacji Projektu. Strony wskazały również ogólne założenia dotyczące zasad własności intelektualnej związanej z Projektem. Szczegółowe warunki współpracy mają zostać określone w odrębnych, wiążących umowach.

Strony uzgodniły również, że przez okres 90 dni od dnia zawarcia Listu Intencyjnego będą prowadzić negocjacje na zasadzie wyłączności w zakresie Projektu. Jednocześnie Spółka wskazuje, że na dzień publikacji niniejszego raportu nie zostały zawarte żadne wiążące umowy dotyczące realizacji Projektu, a podjęcie dalszych działań, w tym zawarcie umów docelowych, uzależnione jest od wyników prowadzonych analiz oraz negocjacji pomiędzy Stronami i nie jest pewne.

Podpisanie Listu Intencyjnego stanowi dla Spółki, w ocenie Zarządu, istotne zdarzenie, ponieważ wpisuje się w rozwój strategicznych kierunków działalności Spółki i może stanowić istotny krok na drodze do rozwoju kompetencji terapeutycznych w zakresie kardiochirurgii, co w przypadku zawarcia umów docelowych i realizacji Projektu może wpłynąć na rozwój jej działalności biznesowej oraz perspektywy wzrostu.

Conclusion of a letter of intent for the development of a minimally

invasive robotic system for the treatment of structural heart defects

Management Board of Medicalgorithmics S.A. with its registered office in

Warsaw (the "Company") informs that on 13 May 2026, the Company has

entered into a letter of intent (the "Letter of Intent") with the

Zbigniew Religa Foundation for the Development of Cardiac Surgery

("FRK") and the Company's shareholder Biofund Capital Management LLC

("BioFund"), (collectively, the "Parties") relating to the planned

cooperation of the Parties in connection with the potential

implementation of a project involving the design, development and

commercialization of a next-generation minimally invasive robotic system

intended for the treatment of structural heart defects (the "Project").

The Letter of Intent is non-binding, except for the provisions relating

to negotiation exclusivity, confidentiality and public communications,

which are binding, and constitutes an expression of the Parties'

intention to jointly pursue the Project on the terms set forth therein.

In accordance with its provisions, the cooperation is intended to

include, in particular, activities involving the design, development and

potential commercialization of solutions combining medical imaging

analysis software, robotic systems and elements supporting clinical

workflows.

The Parties have indicated, inter alia, that in order to implement the

Project they intend to carry out further conceptual, technical and

organizational work, including determining the cooperation model (in

particular, the possible establishment of a joint entity), the

principles for the Parties' contributions (including technology,

know-how and funding), as well as the framework for commercialization of

the Project. The Parties have also outlined general assumptions

regarding intellectual property principles applicable to the Project.

The detailed terms of cooperation are to be specified in separate,

binding agreements.

The Parties have further agreed to conduct exclusive negotiations with

respect to the Project for a period of 90 days from the date of

execution of the Letter of Intent. At the same time, the Company

indicates that as of the date of publication of this report no binding

agreements regarding the implementation of the Project have been

concluded, and the undertaking of further actions, including the

execution of definitive agreements, is subject to the results of ongoing

analyses and negotiations between the Parties and is not certain.

In the opinion of the Management Board, the execution of the Letter of

Intent constitutes a significant event for the Company, as it aligns

with the development of the Company's strategic business directions and

may represent an important step towards building therapeutic

capabilities in the field of cardiac surgery, which, if definitive

agreements are concluded and the Project is implemented, may impact the

development of the Company's business operations and its growth

prospects.
