ORLEN SA (23/2025) Odrzucenie apelacji w sprawie o ustalenie nieistnienia uchwały NWZ PGNiG S.A.

ORLEN S.A. ("Spółka") informuje, że Sąd Apelacyjny w Łodzi - I Wydział Cywilny odrzucił apelację od wyroku w sprawie o ustalenie nieistnienia uchwały nr 3/2022 Nadzwyczajnego Walnego Zgromadzenia PGNiG S.A. z dnia 10 października 2022 roku w sprawie połączenia Spółki z PGNiG S.A. oraz zgody na proponowane zmiany Statutu ORLEN ("Uchwała").

Postanowienie jest nieprawomocne.

Dismissal of the appeal against the judgment in the case of

non-existence of a resolution of the PGNiG EGMRegulatory

announcement no 23/2025 dated 27 May 2025ORLEN S.A. ("ORLEN",

"Company") informs that the Court of Appeal in Łódź - I Civil Division

dismissed the appeal against the judgment in the case of non-existence

of a resolution no 3/2022 of the Extraordinary General Meeting of PGNiG

S.A. as of 10 October 2022 on the merger of the Company with PGNiG S.A.

and consent to the proposed amendments to the Articles of Association of

ORLEN ("Resolution").The decision is not final.See
