PCF GROUP SA (3/2026) Zawarcie umowy wykonawczej (Statement of Work) wraz z ramową umową o świadczenie usług (Service Agreement) z 2K Games, Inc.

W nawiązaniu do raportu bieżącego nr 47/2025 z dnia 23 grudnia 2025 r., Zarząd PCF Group S.A. z siedzibą w Warszawie ("Spółka") niniejszym informuje, że w dniu 15 kwietnia 2026 r. Spółka zawarła ze spółką 2K Games, Inc. z siedzibą w Novato, Kalifornia, USA jako wydawcą ("Wydawca") umowę wykonawczą (Statement of Work) wraz z ramową umową o świadczenie usług (Service Agreement) ("Umowa"), której przedmiotem jest współpraca w zakresie produkcji gry wideo o nazwie kodowej Project Florence ("Gra").

Spółka będzie świadczyć usługi współtworzenia Gry produkowanej i stanowiącej własność Wydawcy, w modelu pracy na zlecenie (work-for-hire), w zamian za co Spółka będzie otrzymywać od Wydawcy uzgodnione wynagrodzenie.

Umowa nie zawiera postanowień określających specyficzne warunki, które odbiegałyby od warunków powszechnie stosowanych dla danego typu umów.

Zawarcie Umowy pozostaje w zgodzie z ogłoszoną przez Spółkę w dniu 31 stycznia 2023 r. aktualizacją Strategii Spółki oraz grupy kapitałowej People Can Fly, zgodnie z którą jeśli pojawią się atrakcyjne możliwości współpracy z renomowanymi partnerami w modelu pracy na zlecenie (work-for-hire), wówczas Spółka z nich skorzysta.

Conclusion of a statement of work along with services agreement with 2K

Games, Inc.With reference to the current report no. 47/2025

dated 23 December 2025, the Management Board of PCF Group S.A. with its

registered office in Warsaw (the "Company") hereby informs that on 15

April 2026 the Company and 2K Games, Inc, with its principal place of

business in Novato, California, USA ("Publisher"), have entered into a

statement of work along with services agreement (the "Agreement")

regarding the cooperation in the production of a video game under the

code name Project Florence (the "Game").

Company will be performing co-development services under the work for

hire model for the Game, which is developed and owned by the Publisher,

in return for which the Company will receive the agreed remuneration

from the Publisher.

The scope and terms of the Agreement do not differ substantially from

the terms of agreements typically concluded for this type of projects.

The conclusion of the Agreement is in line with the update of the

Strategy of the Company and the People Can Fly capital group announced

by the Company on 31 January 2023, according to which if there are

commercially attractive opportunities for cooperation with reputable

partners in the work-for-hire model, then the Company will take full

advantage of them.
