PGE SA (14/2026) Wydanie decyzji administracyjnej przez Prezesa URE w sprawie Funduszu Wypłaty Różnicy Ceny

W nawiązaniu do raportu nr 8/2026 z dnia 6 lutego 2026 r. Zarząd PGE Polskiej Grupy Energetycznej S.A. ("PGE", "Spółka") informuje, że w dniu 12 marca 2026 r. spółka PGE Obrót S.A. ("PGE Obrót") otrzymała od Prezesa Urzędu Regulacji Energetyki ("Prezes URE") decyzję administracyjną ("Decyzja") o obowiązku przekazania na rachunek Funduszu Wypłaty Różnicy Ceny ("Fundusz WRC") kwoty 605 mln zł stanowiącej różnicę pomiędzy odpisem wniesionym na rzecz Funduszu WRC przez PGE Obrót, a kwotą skalkulowaną przez Prezesa URE. Decyzja zobowiązuje PGE Obrót do przekazania wskazanej wyżej kwoty na rachunek Funduszu WRC, w terminie 30 dni od dnia doręczenia Decyzji. Zgodnie z otrzymaną Decyzją odsetki od kwoty zobowiązania liczone są od dnia otrzymania Decyzji.

Mając na uwadze powyższe oraz zasady określone w MSR 37, PGE Obrót zidentyfikowała konieczność utworzenia w IV kwartale 2025 roku rezerwy na poziomie 605 mln zł.

Stosowna rezerwa w tej samej wysokości zostanie także utworzona w skonsolidowanym sprawozdaniu finansowym za rok 2025 i obniży skonsolidowany wynik EBITDA Grupy Kapitałowej PGE. Jednocześnie Spółka informuje, że wysokość wskazanej rezerwy może ulec zmianie, a jej ostateczna wartość zostanie zaprezentowana w skonsolidowanym sprawozdaniu finansowym Grupy PGE za 2025 rok, podlegającym badaniu przez Biegłego Rewidenta.

Zarząd PGE wskazuje, że spółce PGE Obrót przysługuje możliwość złożenia odwołania do sądu od Decyzji.

Issuance of an administrative decision by the ERO President regarding

the Price Difference Payment Fund

With reference to the current report no. 8/2026 of February 6, 2026, the

Management Board of PGE Polska Grupa Energetyczna S.A. ("PGE", the

"Company") discloses that on March 12, 2026 PGE Obrót S.A. ("PGE Obrót")

has received the administrative decision (the "Decision") from the

President of Energy Regulatory Office (the "ERO President") on the

obligation to transfer to the account of the Price Difference Payment

Fund (the "PDP Fund") an amount of PLN 605 million what constitutes a

difference between the contribution paid by PGE Obrót to the PDP Fund

and the amount calculated by the ERO President. The Decision obliges PGE

Obrót to transfer the indicated amount to the account of the PDP Fund

within 30 days from the Decision delivery date. According to the

Decision the interest on the liability amount is counted from the day of

the receipt of the Decision.

Taking into account the above and the principles of IAS 37, PGE Obrót

has identified the necessity to create a provision in the amount of PLN

605 million in the fourth quarter of 2025.

Appropriate provision in the same amount will be also recognised in the

consolidated financial statements for 2025 and will decrease

consolidated EBITDA result of the PGE Capital Group.

At the same time the Company informs that the value of the above

provision may change and its final value will be presented in the

consolidated financial statements of the PGE Capital Group for the year

2025 which is subject to the audit by the Statutory Auditor.

The Management Board of PGE points out that PGE Obrót is entitled to

file an appeal with the court against the Decision.
