PCF GROUP SA (11/2025) Zawiadomienie w sprawie stanu posiadania znacznego pakietu akcji PCF Group S.A.

Podstawa prawna: Art. 70 pkt 1 Ustawy o ofercie - nabycie lub zbycie znacznego pakietu akcji

Zarząd PCF Group S.A. z siedzibą w Warszawie ("Spółka") informuje, że w dniu 7 maja 2025 r. wpłynęło do Spółki zawiadomienie od stron porozumienia, o którym mowa w art. 87 ust. 1 pkt 5) ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych ("Porozumienie", "Ustawa o Ofercie Publicznej"), złożone na podstawie art. 69 ust. 2 pkt 2) w zw. z art. 87 ust. 1 pkt 5 Ustawy o Ofercie Publicznej.

Zawiadomienie zostało złożone w związku z transakcją sprzedaży akcji Spółki przez Bartosza Kmitę, uczestnika Porozumienia, która doprowadziła do zmiany dotychczas posiadanego łącznie przez strony Porozumienia udziału ogólnej liczby głosów w Spółce, zdeklarowanego w ostatnim tego typu zawiadomieniu z dnia 1 września 2023 r., o co najmniej 1% ogólnej liczby głosów.

Zawiadomienie stanowi załącznik do niniejszego raportu bieżącego.

Notice on the status of a major package of shares in PCF Group S.A.The

Management Board of PCF Group S.A. (the "Company") informs that on 7 May

2025 the Company received a notification from parties to the agreement

constituting an undertaking referred to under Art. 87 Section 1 item 5)

of the Act of 29 July 2005 on Public Offering, Conditions Governing the

Introduction of Financial Instruments to Organized Trading, and Public

Companies ("Agreement", "Act on Public Offering"), submitted pursuant to

Art. 69 Section 2 item 2) in conjunction with Art. 87 Section 1 item 5)

of the Act on Public Offering.

The notification was submitted in connection with the sale of the

Company's shares by Bartosz Kmita, a party to the Agreement, which led

to a change in the share of the total number of votes previously held by

the parties to the Agreement in the Company, declared in the last

notification of this type dated 1 September 2023, by at least 1% of the

total number of votes.

The notification constitutes an appendix to this current report.
