GRUPA PRACUJ SA (8/2025) Finalizacja transakcji dotyczącej zwiększenia zaangażowania Grupy Pracuj S.A. w spółki ukraińskie prowadzące biznesy pod nazwami Work.ua i Robota.ua

W nawiązaniu do raportu bieżącego nr 11/2024 z dnia 04 listopada 2024 r., Zarząd spółki Grupa Pracuj S.A. z siedzibą w Warszawie ("Spółka" lub "Grupa Pracuj") informuje, że w dniu 13 maja 2025 r. Spółka zawarła z Panem Andriyem Borovykiem umowy dotyczące nabycia przez Spółkę (i) pośrednio 29,4% udziałów w Gravitatciya-U TOV z siedzibą w Ukrainie ("Gravitatciya-U") oraz (ii) bezpośrednio 29,4% udziałów w GVT Ltd z siedzibą na Cyprze ("GVT") za łączną cenę wynoszącą 7.644.000 USD. Jednocześnie, dokonane zostały pozostałe czynności niezbędne do sfinalizowania transakcji.

Gravitatciya-U posiada 33% udziałów w spółce Robota International TOV (Robota.ua) oraz 67% udziałów w spółce Work Ukraine TOV (Work.ua), natomiast GVT posiada 33% udziałów współce Snowless Global Ltd oraz 67% udziałów w spółce WorkIP Ltd.

W wyniku transakcji Grupa Pracuj posiada:

- bezpośrednio 100% udziałów w spółce Onorat Holdings Ltd z siedzibą na Cyprze ("Onorat");

- pośrednio 29,4% udziałów w Gravitatciya-U TOV (poprzez Onorat);

- bezpośrednio 29,4% udziałów w GVT Ltd;

- łącznie (bezpośrednio i pośrednio) 76,7% (z czego 67,0% bezpośrednio) w Robota International TOV;

- łącznie (bezpośrednio i pośrednio) 76,7% (z czego 67,0% bezpośrednio) w Snowless Global Ltd;

- łącznie (bezpośrednio i pośrednio) 52,7% (z czego 33,0% bezpośrednio) w Work Ukraine TOV; oraz

- łącznie (bezpośrednio i pośrednio) 52,7% (z czego 33,0% bezpośrednio) w WorkIP Ltd.

Dokonana transakcja nie zmienia sposobu prowadzenia obu biznesów ani dotychczasowego sposobu konsolidacji wyników finansowych.

With

reference to the current report no. 11/2024 dated November 04, 2024 the

Management Board of Grupa Pracuj S.A. with its registered office in

Warsaw (the "Company" or "Grupa Pracuj")

informs that on May 13, 2025 the Company entered into a share purchase

agreement with Mr Andriy Borovyk, based on which Grupa Pracuj acquired

from Mr Andriy Borovyk (i) indirectly 29.4% of the shares in Ukrainian

company Gravitatciya-U TOV ("Gravitatciya-U") and directly

29.4% of shares in Cypriot company GVT Ltd ("GVT") for the

total purchase price of USD 7,644,000. At the same time, the other

actions necessary to finalize the transaction were made.

Gravitatciya-U

holds 33% of the shares in Robota International TOV (Robota.ua) and 67%

of the shares in Work Ukraine TOV (Work.ua), whereas GVT holds 33% of

shares in Snowless Global Ltd and 67% of shares in WorkIP Ltd.

As

a result of the transaction, Grupa Pracuj holds:

directly

100% of shares in Onorat Holdings Ltd with its registered seat in Cyprus

("Onorat");

indirectly

29.4% shares

in Gravitatciya-U TOV

(through Onorat);

-

directly

29.4% shares in GVT Ltd;

-

in

total (directly and in directly) 76.7% (of which 67.0% directly) in

Robota International TOV;

-

in

total (directly and in directly) 76.7% (of which 67.0% directly) in

Snowless Global Ltd;

-

in

total (directly and in directly) 52.7% (of which 33.0% directly) in Work

Ukraine TOV; and

-

in

total (directly and in directly) 52.7% (of which 33.0% directly) in

WorkIP Ltd.

The

transaction does not change the way both businesses are run or the

existing approach for consolidating financial results.
