PGE SA (11/2026) Zawarcie umów na budowę bloków gazowych w Rybniku oraz w Gryfinie

Zarząd spółki PGE Polska Grupa Energetyczna S.A. ("PGE") informuje, że w dniu 4 marca 2026 roku spółki zależne od PGE zawarły umowy z konsorcjum spółek: Polimex Mostostal S.A. (lider konsorcjum), Siemens Energy Sp. z o.o. (jako członek Konsorcjum) oraz Siemens Energy Global GmbH _ Co. KG (jako członek Konsorcjum).

Szczegóły umów zaprezentowane są poniżej.

1. Umowa na budowę bloku gazowego w Rybniku wraz z umową serwisową

W dniu 4 marca 2026 roku PGE Inwest 23 sp. z o.o., spółka zależna od PGE, zawarła dwie umowy: umowę EPC oraz umowę serwisową ("Umowy") z konsorcjum spółek: Polimex Mostostal S.A. (lider konsorcjum), Siemens Energy Sp. z o.o. (członek konsorcjum), Siemens Energy Global GmbH _ Co. KG (członek konsorcjum) ("Wykonawca").

Przedmiotem umowy EPC jest realizacja przez Wykonawcę robót budowlano-montażowych oraz innych prac w celu wybudowania bloku gazowego w Rybniku o znamionowej mocy elektrycznej około 600 MWe. Blok zostanie zrealizowany w technologii OCGT (Open Cycle Gas Turbine). Przekazanie bloku do eksploatacji ma nastąpić do 16 stycznia 2030 r.

Wartość umowy EPC wynosi 1 170 654 956,00 zł netto oraz 269 547 000,00 euro netto.

Umowa EPC przewiduje kary umowne dla Wykonawcy związane m.in. z niedotrzymaniem terminu przekazania bloku do eksploatacji, niedotrzymaniem gwarantowanej mocy znamionowej bloku netto, niedotrzymaniem gwarantowanego poziomu dyspozycyjności bloku oraz niedotrzymaniem gwarantowanej sprawności bloku netto. Łączna suma kar umownych, wynikających ze wszystkich tytułów przewidzianych umową EPC, nie może przekroczyć 20% wartości Wynagrodzenia Umownego.

W przypadku odstąpienia od umowy EPC w całości lub w zakresie niewykonanej części z przyczyn, za które jedna ze stron ponosi odpowiedzialność zgodnie z umową, druga strona jest uprawniona do obciążenia odpowiedzialnej strony karą umowną w wysokości 10% Wynagrodzenia Umownego. Umowa EPC zawiera także klauzulę waloryzacyjną uwzględniającą potencjalne podwyższenie wynagrodzenia Wykonawcy o połowę skumulowanego wskaźnika wzrostu cen produkcji budowlano-montażowej publikowanego na stronie internetowej Głównego Urzędu Statystycznego. Maksymalna waloryzacja wynagrodzenia z tego tytułu nie może przekroczyć 15% Wynagrodzenia Umownego.

W powiązaniu z umową EPC została zawarta umowa o świadczenie usług serwisowych (LTSA) dla turbiny gazowej przez okres minimum 12 lat od dnia przekazania bloku do eksploatacji. Wartość umowy serwisowej wynosi 132 000 000 euro netto - tytułem stałej części wynagrodzenia serwisowego oraz do 20 000 000 zł netto - tytułem maksymalnego wynagrodzenia zmiennego.

2. Umowa na budowę bloku gazowego w Gryfinie wraz z umową serwisową

W dniu 4 marca 2026 roku PGE Inwest 27 sp. z o.o., spółka zależna od PGE, zawarła dwie umowy: umowę EPC oraz umowę serwisową ("Umowy") z konsorcjum spółek: Polimex Mostostal S.A. (lider konsorcjum), Siemens Energy Sp. z o.o. (członek konsorcjum), Siemens Energy Global GmbH _ Co. KG (członek konsorcjum) ("Wykonawca").

Przedmiotem umowy EPC jest realizacja przez Wykonawcę robót budowlano-montażowych oraz innych prac w celu wybudowania bloku gazowego w Gryfinie o znamionowej mocy elektrycznej około 600 MWe. Blok zostanie zrealizowany w technologii OCGT (Open Cycle Gas Turbine). Przekazanie bloku do eksploatacji ma nastąpić do dnia 27 marca 2030 r.

Wartość umowy EPC wynosi 1 184 998 667,00 zł netto oraz 260 143 000,00 euro netto.

Umowa EPC przewiduje kary umowne dla Wykonawcy związane m.in. z niedotrzymaniem terminu przekazania bloku do eksploatacji, niedotrzymaniem gwarantowanej mocy znamionowej bloku netto, niedotrzymaniem gwarantowanego poziomu dyspozycyjności bloku oraz niedotrzymaniem gwarantowanej sprawności bloku netto. Łączna suma kar umownych wynikających ze wszystkich tytułów przewidzianych umową EPC nie może przekroczyć 20% Wynagrodzenia Umownego.

W przypadku odstąpienia od umowy EPC w całości lub w zakresie niewykonanej części z przyczyn, za które jedna ze stron ponosi odpowiedzialność zgodnie z tą umową, druga strona jest uprawniona do obciążenia odpowiedzialnej strony karą umowną w wysokości 10% Wynagrodzenia Umownego. Umowa zawiera także klauzulę waloryzacyjną uwzględniającą potencjalne podwyższenie wynagrodzenia Wykonawcy o połowę skumulowanego wskaźnika wzrostu cen produkcji budowlano-montażowej publikowanego na stronie internetowej Głównego Urzędu Statystycznego. Maksymalna waloryzacja wynagrodzenia z tego tytułu nie może przekroczyć 15% Wynagrodzenia Umownego.

Signing of the agreements for construction of the gas-fired units in

Rybnik and in Gryfino

The Management Board of PGE Polska Grupa Energetyczna S.A. ("PGE")

discloses that on March 4, 2026 subsidiaries of PGE signed agreements

with consortium of: Polimex Mostostal S.A. (consortium leader), Siemens

Energy Sp. z o.o. (consortium member) and Siemens Energy Global GmbH _

Co. KG (consortium member).

Details of the agreements are presented below.

1. Agreement for construction of gas-fired unit in Rybnik along with the

LTSA

On March 4, 2026 PGE Inwest 23 sp. z o.o., PGE's subsidiary, has

concluded two agreements: EPC agreement and service agreement (the

"Agreements") with the consortium of: Polimex Mostostal S.A. (consortium

leader), Siemens Energy Sp. z o.o. (consortium member), Siemens Energy

Global GmbH _ Co. KG (consortium member) (the "Contractor").

Subject matter of the EPC agreement is the performance of construction

and assembly works and other works by the Contractor, in order to build

a gas-fired unit in Rybnik with a capacity of approx. 600 MWe. The unit

will be constructed in OCGT (Open Cycle Gas Turbine) technology. The

commissioning of the unit is to take place by January 16, 2030.

Value of the EPC agreement amounts to PLN 1 170 654 956.00 net and EUR

269 547 000.00 net.

The EPC agreement provides for contractual penalties for the Contractor

related to, among others, failure to meet the deadline for commissioning

of the unit, failure to comply with the guaranteed net rated capacity,

failure to deliver the guaranteed level of availability and failure to

meet guaranteed net efficiency of the unit. The total sum of contractual

penalties resulting from all failures assumed by the EPC agreement

cannot exceed 20% of the value of the Contractual Remuneration.

In case of withdrawal from the EPC agreement in full or in the scope of

the unfulfilled part for reasons for which one of the parties is liable

under the agreement the other party is entitled to charge the

responsible party with a contractual penalty in the amount of 10% of the

value of the Contractual Remuneration. The EPC agreement also includes

an indexation clause which takes into account potential increase of the

Contractor's remuneration by half of the cumulative increase in the

prices of construction and assembly production index which is published

on the website of the Central Statistical Office of Poland. The maximum

indexation of the remuneration due to the above cannot exceed 15% of the

Contractual Remuneration.

In connection with the EPC agreement, a long-term service agreement

(LTSA) was also signed with regard to gas turbine for the period of at

least 12 years starting from the commissioning date of the unit. The

value of the service agreement amounts to EUR 132 000 000 net - for the

fixed part of the service remuneration, and up to PLN 20 000 000 net -

for the maximum variable remuneration.
