BENEFIT SYSTEMS SA (17/2026) Informacja o utworzeniu rezerwy mającej wpływ na wyniki 2025 roku

Zarząd Benefit Systems S.A. z siedzibą w Warszawie ("Spółka") informuje o ujęciu w skonsolidowanym sprawozdaniu finansowym Spółki za rok obrotowy zakończony dnia 31 grudnia 2025 r. zdarzenia księgowego o charakterze jednorazowym, mającego istotny wpływ na wynik operacyjny za 2025 rok, w tym na wyniki czwartego kwartału 2025 roku.

Na dzień 31 grudnia 2025 r. Spółka utworzyła rezerwę w wysokości 40,6 mln zł, która została ujęta w pozostałych kosztach operacyjnych, w związku z toczącymi się postępowaniami przed Prezesem Urzędu Ochrony Konkurencji i Konsumentów ("Prezes UOKiK"), o których Spółka informowała w raporcie bieżącym nr 6/2026 z dnia 21 stycznia 2026 r.

Spółka podjęła współpracę z Prezesem UOKiK w toku wskazanych postępowań, w tym złożyła wniosek o wydanie decyzji w trybie art. 28 ustawy z dnia 16 lutego 2007 r. o ochronie konkurencji i konsumentów (tzw. decyzja zobowiązująca). Wartość rezerwy ma charakter szacunkowy i może ulec zmianie w zależności od dalszego przebiegu postępowania oraz ostatecznego kształtu ewentualnej decyzji wydanej przez Prezesa UOKiK.

Ostateczny wpływ wskazanego zdarzenia na wyniki finansowe Spółki oraz Grupy Kapitałowej Spółki za rok 2025, w tym za czwarty kwartał 2025 r., zostanie przedstawiony w rocznym skonsolidowanym sprawozdaniu finansowym, którego publikacja planowana jest na dzień 20 marca 2026 roku.

Information on the creation of a provision affecting the 2025 results

The Management Board of Benefit Systems S.A. with its registered seat in

Warsaw (hereinafter, the "Company") hereby informs of the recognition,

in the Company's consolidated financial statements for the financial

year ended 31 December 2025, of an accounting one-off having a material

impact on the operating result for 2025, including on the results for

the fourth quarter of 2025.

As of 31 December 2025, the Company created a provision in the amount of

PLN 40.6m (recognized in the other operating costs) in connection with

the proceedings by the President of the Office of Competition and

Consumer Protection (President of UOKiK"), about which the Company

informed in the current report no. 6/2026 of 21 January 2026.

The Company has undertaken cooperation with the President of UOKiK in

the course of the aforementioned proceedings, including submitting an

application for the issuance of a decision pursuant to Article 28 of the

Act of 16 February 2007 on Competition and Consumer Protection (the

so-called commitment decision). The value of the created provision is an

estimate and may change depending on the further course of the

proceedings and the final form of a decision that may be issued by the

President of UOKiK.

The final impact of the above-mentioned event on the financial results

of the Company and the Company's Capital Group for 2025, including the

fourth quarter of 2025. will be presented in the consolidated financial

statements of the Group, the publication of which is scheduled for 20

March 2026.
