Podstawa prawna: On 17 July 2026, Pepco Group N.V. (the Company) published a Notice of an Extraordinary General Meeting to be held on 2 September 2026 (the EGM). Item 2 of the Agenda for the EGM seeks additional authorisation of the Board to have the Company acquire up to 10% of the ordinary shares in its own capital (Item 2). The Company now clarifies, in connection with the cancellation of the Original Tender Offer and simultaneous relaunch of a new, revised pro-rata tender buyback on 28 July 2026 (the New Revised Tender Offer), that it will only seek the authorisation under Item 2 if the New Revised Tender Offer has completed on or around 17 August 2026
