TVN SA informs

The management board of TVN S.A. (the "Company") announces that on 5 December 2014 the Company purchased a total of 7,5 million (seven million five hundred thousand) own shares, including 3,668,250 (three million, six hundred and sixty-eight thousand, two hundred and fifty) dematerialised ordinary bearer shares and 3,831,750 (three million, eight hundred and thirty-one thousand, seven hundred and fifty) dematerialised ordinary registered shares, each with a nominal value of PLN 0.20 (twenty groszy), which in total (as at the date of this report) represent 2.14% of the Company's share capital and 7,5 million votes at the general meeting of the Company, which represents 2.14% of the votes at the general meeting of the Company (the "Purchased Shares"). The purchase price was PLN 20.00 (twenty zloty) per one Purchased Share and PLN 150,000,000 million (one hundred fifty million zlotys) for all the Purchased Shares. The Purchased Shares were acquired with the aim of being redeemed.The Purchased Shares were acquired outside of the regulated market, via the brokerage house of Dom Maklerski BZ WBK S.A., in settlement of the offer to buy shares in TVN S.A. announced by the Company on 14 May 2014 (the "Offer"). The Company informed the public of the announcement of the Offer in its current report No. 104/2014 of 6 November 2014. The Offer was announced on the basis of the authorisation to buy shares in the Company granted by the ordinary general meeting of the Company in resolution No. 28 of 11 April 2014 (the "Own Shares Purchase Program"). Under the Own Shares Purchase Program, the management board of the Company was authorised to purchase up to 34,000,000 (thirty-four million) shares representing up to 10% of the Company's share capital as at the date of the resolution adopting the Own Shares Purchase Program. The authorisation to buy own shares was granted to the management board of the Company for the period ending on the earlier of 31 December 2015 or the utilisation of all funds allocated to the Own Shares Purchase Program, i.e. PLN 500,000,000 (five hundred million zloty). The Company informed the public of the resolution adopting the Own Shares Purchase Program in its current report No. 59/2014 of 11 April 2014.The number of bearer shares offered by shareholders for sale under the Offer totalled 148,244,322 (one hundred and forty-eight million, two hundred and forty-four thousand, three hundred and twenty-two) shares. Since the total number of bearer shares offered by shareholders for sale under the Offer exceeded the total number of shares intended to be purchased by the Company under the Offer (i.e. 3,668,250 shares), the number of shares purchased from individual shareholders was calculated according to the reduction principles detailed in §11 of the offer document. The average reduction rate applied to the pool of the bearer shares was 97.53%. Before the settlement of the Offer, the Company held 5,000,000 own shares.After the settlement of the Offer, the Company holds 12,5 million own shares, each with a nominal value of PLN 0.20 (twenty groszy), which (as at the date of this report) in the aggregate represent 3.57% of the Company's share capital and 12,5 million (twelve million five hundred thousand) votes at the general meeting of shareholders of the Company, which represents 3.57% of the votes at the general meeting of the Company. In accordance with applicable laws, the Company does not exercise the shareholder's rights attached to own shares.
