Bank Zachodni WBK S.A. (the "Bank"), hereby discloses as public
information, the notification received from Santander Consumer Finance
S.A. ("SCF") on 24 July 2014, regarding the exceeded 5% of the total
number of votes at the general meeting of the shareholders of the Bank
related to the registration on 18 July 2014 by the relevant court of the
increase of the Bank's share capital which was conducted by way of the
issuance of 5,383,902 ordinary series L bearer shares (the "Series L
Shares") and the exclusion of the pre-emptive rights of the Bank's
existing shareholders with respect to all the Series L Shares, which
were only taken up by SCF.
Legal basis:
Article 70 section 1 in connection with Article 69 section 1.1 of the
Act on Public Offering, conditions Governing the Introduction of
Financial Instruments to Organised Trading and Public Companies, dated
29 July 2005 (amended and restated: Journal of Laws of 2009, No. 185,
item 1439, as amended).
